The seven questions every investor asks about this round, answered plainly, plus the list of what opens under NDA and how quickly.

What is the instrument, and what are its terms?

Priced equity. No SAFE, no convertible note, no discount and no MFN clause — one price, one class, the same terms for every investor in the round.

$100,000 at $500,000 pre-money and $600,000 post-money — 16.7% of the company for the full round. Minimum ticket $10,000.

Why this amount?

Because it is what the plan costs, not because it is a round number. The largest line is programme delivery — the work of turning published formats into engagements that can be delivered and repeated — and the rest is the content, commercial, infrastructure and administrative capacity that line needs around it to survive eighteen months. A larger round would buy activity we cannot yet justify; a smaller one would not finish the first job.

What does my ticket dilute to?

At the $600,000 post-money: $10,000 is 1.67%, $25,000 is 4.17%, $50,000 is 8.33%, and the full $100,000 is 16.67%. Those figures are on the ask page as a table, and that table is the only cap-table figure this kit publishes. Future rounds will dilute this round like any other; no anti-dilution protection is offered and none is implied.

What is available under NDA, and how do I get it?

Under signed NDA: the cap table and the corporate documents of the entity that issues the shares; the platform’s traffic and usage analytics; access to the code repository; the indicative pricing behind the programme formats and the cost of delivering one; the financial model behind the use of funds and the eighteen-month runway on the ask page; the IP assignment position between Ariski and CEMI.ai; and the equity subscription documents. Write to invest@cemi.ai; materials go out within two business days of a signed NDA.

How does this round relate to CEMI.ai?

Each initiative raises at its own level, for its own plan. CEMI.ai raises at group level, for the shared platform, the labs and the pipeline that every initiative is built on. An investor may enter at either level, and the two amounts are complementary, not alternatives: money into an initiative funds that company's plan, money into the group funds the machinery all of them run on.

What are the exit paths?

Honestly: none is contracted, and anyone who tells you otherwise at this stage is guessing. The structurally plausible paths for a sector education platform are acquisition by an insurance training or professional-education provider, acquisition by a carrier or broker group that wants the capability in-house, a secondary sale to a later investor in a subsequent round, or a long-lived independent business that distributes rather than sells. We are not building toward a specific acquirer, and no discussion with any of them is open.

What happens if the round does not close?

Ariski stays online. The platform is built, deployed and inexpensive to keep running, and CEMI.ai keeps publishing it as it does today — the round buys speed and capacity, not survival. Below the $40,000 minimum viable close we would not take the money at all: a partial round that funds half of the delivery line would buy an obligation without buying the capacity to meet it, and we would rather wait, or fund the same work more slowly out of the group.
